TERMS OF SERVICE AGREEMENT
As a client of Identity Designs, I understand and agree that:

1. I am of legal age in the state and country in which I enter this agreement as a legal resident of the US, Canada, or Australia and will only use the website provided to conduct business in the countries, states, and jurisdictions where my business is licensed to operate.

2. I shall become an Identity Designs Client upon completion of the "Activate Site" button located on the home page of my website. As a client, I shall have the right to sell the products and services offered by My Company in accordance with the Identity Designs Terms of Service Agreement and Acceptable Use Policies and Procedures, which may be amended and changed from time to time, and may be viewed online.

3. Upon notification to clients, Identity Designs, at its discretion, may amend the Policies and Procedures or Terms of Service Agreement.

4. I have carefully reviewed the Identity Designs Acceptable Use Policies and Procedures, and acknowledge that they are incorporated as part of this Agreement in their present form and as modified from time to time by Identity Designs.

5. The term of the Identity Designs Terms of Service Agreement is for as long as I will remain a Client of Identity Designs. Upon completion of the Activate Site form this Agreement will automatically be in effect, subject to a right of termination of service by either party.

6. A Client shall be entitled to cancel participation in the web design and hosting program at any time and for any reason upon notice to Identity Designs.

7. Upon completion of the Activate Site form provided from the home page of my website, I will be an independent entity from Identity Designs responsible for my own business and not an affiliate, partner, or sister company of Identity Designs. I will not be treated as any afore mentioned in regard to any laws for businesses or partnerships, including but not limited to those which effect my business and are separate from those which deal with Identity Designs company such as the Federal Insurance Contributions Act, the Social Security Act, the Federal Unemployment Tax Act, income tax withholding at source, or for any federal or state tax laws. It is my personal responsibility to pay my businesses sales tax, state and local tax, and federal taxes as required by law. It is also my own responsibility to seek the proper licenses needed for my business in the various places I am conducting business through the website provided to me by Identity Designs.

8. I will not use Identity Designs name, material, logo and/or trademarks except in the advertising provided to me by Identity Designs or in other advertising without prior written approval by Identity Designs.

9. The Identity Designs solution is built upon managing and controlling my own websites using WebCenter software, whether for personal or business purposes. Identity Designs also recognizes that clients may wish to recommend this solution to other personal and business associates. For this reason, clients may earn bonuses for each referral who becomes a client but only after the referral has been a client for 90 days. These referrals do not count if you are also purchasing the other website for your friend.

10. No additional fee is necessary to use any of the services provided with your website obtained from your Identity Designs representative. There is no fee to help you build, manage, and control your website, assist you in choosing your keywords, graphics, forms, etc so long as you use our free technical support and customer care staff during the hours of operation.

11. Identity Designs may immediately terminate a website which contains adult related material, discredits the Identity Designs name, violates any of the requirements contained in this Agreement, Identity Designs Acceptable Use Policies and Procedures, or misrepresents the Identity Designs websites or franchise business opportunity by making claims contrary to the Identity Designs product literature and labels or violates professional business ethics standards including but not limited to SPAMMING.

12. This Agreement constitutes the entire Agreement between the Client and Identity Designs and no additional promises, representations, guarantees, or Agreements of any kind shall be valid unless in writing.

13. This Agreement shall be governed by the laws of the state of California, and all claims, disputes, and other matters between the parties of this agreement shall be brought in Riverside County Court, in Riverside California, or in the U.S. District Court, in Los Angeles, California.

14. By becoming a Client of Identity Designs, I acknowledge that I have read and understand and agree to the terms set forth in this Agreement.

15. This Agreement is not in force with Client until purchase or attempted purchase of a website has been completed or client has begun to use the WebCenter Software provided.

You may cancel this agreement, without any penalty or obligation, by canceling your website entirely with Identity Designs through use of verbal or written notice.
